These Terms of Service ("Terms") govern your access to and use of Ekumene's website, applications, and services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Ekumene, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

1.1 Geographic Availability

Ekumene is offered from the United States. The Service may not be available in all jurisdictions. You may not use Ekumene if you are located in, or a resident of, a country subject to U.S. trade sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions) or if your use would violate applicable export control or sanctions laws.

2. Description of Service

Ekumene is an AI-powered strategic life management system that helps users prioritize tasks and manage capacity across life domains. The Service integrates with third-party tools (such as Google Calendar and Todoist) to provide prioritization and planning recommendations.

2.1 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We may also update, change, or remove features and functionality from the Service. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration

To use Ekumene, you must create an account. You agree to provide accurate information and keep your account credentials secure. You are responsible for all activity that occurs under your account.

4. Subscriptions and Payments

Ekumene offers paid subscription plans. By subscribing, you agree to pay the applicable fees. Subscriptions automatically renew unless cancelled before the renewal date.

No Refunds. All fees are non-refundable except where required by applicable law. You may cancel your subscription at any time, but you will not receive a refund for any fees already paid. Your access will continue until the end of your current billing period.

We reserve the right to change pricing with 30 days' notice. Price changes will apply to your next billing cycle after the notice period.

5. Third-Party Integrations

Ekumene integrates with third-party services like Google Calendar and Todoist. Your use of these integrations is subject to the terms and privacy policies of those services. We are not responsible for the availability, accuracy, or functionality of third-party services.

You may disconnect any third-party integration at any time through your account settings or by revoking access through the third-party service.

6. AI-Generated Recommendations

Ekumene uses artificial intelligence to provide task prioritization and planning recommendations. These recommendations are suggestions only and should not be relied upon as professional advice. You are solely responsible for your decisions and actions.

AI systems can make errors. We do not guarantee the accuracy, completeness, or appropriateness of any AI-generated content or recommendations.

The Service is not intended to replace professional, medical, legal, financial, or mental health advice. If you require such advice, please consult a qualified professional.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Use automated means to access the Service without our permission
• Resell or redistribute the Service without authorization
• Use the Service in a way that could harm other users

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Ekumene LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

You retain ownership of any data you provide to the Service. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EKUMENE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Ekumene LLC and its members, managers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. You may cancel your account at any time. Upon termination, your right to use the Service will immediately cease.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. Dispute Resolution

14.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in the State of Delaware or, at your election, via telephone, video conference, or based on written submissions.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of these Terms, including any claim that all or part of these Terms is void or voidable.

14.2 Class Action Waiver

YOU AND EKUMENE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Ekumene agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.3 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

14.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@ekumene.ai within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the courts of Delaware.

15. General Provisions

Governing Law. These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

Waiver of Jury Trial. TO THE EXTENT PERMITTED BY LAW, YOU AND EKUMENE WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement. These Terms constitute the entire agreement between you and Ekumene regarding the Service and supersede any prior agreements.
